These Terms of Service ("Terms") govern your access to and use of the TrailAI application (the "App", "Service") provided by FIBA LABS LLC ("FIBA LABS", "we", "us", "our"). By installing or using TrailAI, you agree to be bound by these Terms.
If you do not agree to these Terms, do not install or use the App.
1. Eligibility
To use TrailAI, you must:
- Be at least 18 years of age.
- Operate an active Shopify store in good standing.
- Comply with Shopify's Terms of Service and Acceptable Use Policy.
- Have the legal authority to bind the business entity installing the App.
2. The Service
TrailAI is a Shopify application that provides analytics on traffic originating from AI platforms (including but not limited to ChatGPT, Gemini, Perplexity, and Copilot), with revenue attribution to Shopify orders and search intent classification.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice. We will make reasonable efforts to notify paying subscribers of material changes that reduce core functionality.
3. Subscription Plans and Billing
3.1 Plans
TrailAI offers two plans:
- Free plan — access to today's data only. Free forever. No credit card required.
- Pro plan — $9 USD per month, billed monthly. Includes full historical data and advanced analytics. Starts with a 7-day free trial.
3.2 Billing
All billing is handled exclusively through the Shopify Billing API. Charges appear on your Shopify invoice. We never process or store payment card information directly.
Subscriptions automatically renew each month unless cancelled. You will be charged the subscription fee at the start of each billing period.
3.3 Price Changes
We may change subscription prices from time to time. Any price changes will take effect at the start of the next billing cycle following at least 30 days' notice to you by email or in-app notification.
3.4 Taxes
All fees are exclusive of applicable taxes. You are responsible for any taxes, duties, or government charges associated with your use of the Service.
4. Free Trial
The Pro plan includes a 7-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, you will be automatically charged $9 USD and your subscription will continue monthly.
Free trials are limited to one per Shopify store.
5. Cancellation
You may cancel your Pro subscription at any time via:
- The Plans screen inside the TrailAI app, or
- Uninstalling the app from your Shopify admin (Settings → Apps).
Cancellation takes effect at the end of the current billing cycle. You will retain Pro access until the end of the paid period.
6. Acceptable Use
You agree not to:
- Use the Service for any illegal, fraudulent, or unauthorized purpose.
- Attempt to gain unauthorized access to our systems, infrastructure, or other users' data.
- Reverse engineer, decompile, or attempt to extract the source code of the App.
- Resell, sublicense, or redistribute the Service to third parties.
- Use the Service to collect data from stores you do not own or operate.
- Interfere with or disrupt the Service or servers connected to the Service.
- Use automated means to access the Service in a manner that adversely affects performance.
7. Intellectual Property
TrailAI, including all software, design, content, trademarks, and logos, is owned by FIBA LABS LLC and is protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App in connection with your Shopify store for the duration of your subscription.
You retain all rights to your store data. By using the App, you grant us a limited license to process your data solely for the purpose of providing the Service, as described in our Privacy Policy.
8. Data and Privacy
Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you agree to the data practices described in the Privacy Policy.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, or factors outside our control. We are not liable for any downtime or loss of data during such periods.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be error-free, that defects will be corrected, or that the analytics data will be complete or 100% accurate. AI-referred traffic detection depends on identifiable signals (referrers, user-agents) that may change as AI platforms evolve.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIBA LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless FIBA LABS LLC, its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms. Upon termination, your right to use the Service will cease immediately and we will delete your data in accordance with our Privacy Policy.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-law principles. Any legal action arising under these Terms shall be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of such courts.
15. Changes to These Terms
We may modify these Terms at any time. If we make material changes, we will notify you by email or in-app notification at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and FIBA LABS LLC regarding the Service and supersede any prior agreements.
